This is the official English translation of the Congruence Foundation statute (Statut Fundacji Congruence). The Foundation was established by notarial deed on August 12, 2025, and registered in the National Court Register (KRS) on August 27, 2025.

STATUTE OF CONGRUENCE FOUNDATION

Chapter I. General Provisions

§ 1

  1. The Foundation under the name Congruence, hereinafter referred to as the Foundation, operates on the basis of the Act of April 6, 1984 on foundations and the provisions of this statute.
  2. The Foundation was established by Andrei Belashou, hereinafter referred to as the Founder, by notarial deed drawn up on August 12, 2025 by notary Dorota Celichowska at the Notary Office at ul. Wojska Polskiego 17, 60-618 Poznań, repertory A. number 4041/2025.
  3. The Foundation may use a distinctive graphic sign (logo).
  4. The Foundation has legal personality.
  5. The seat of the Foundation is the city of Poznań.
  6. The duration of the Foundation is indefinite.

§ 2

  1. The Foundation operates on the territory of the Republic of Poland and – to the extent necessary to achieve its objectives – also outside its borders, in compliance with applicable law.

§ 3

  1. The Foundation does not conduct business activity.
  2. The Foundation may conduct activities in foreign languages.
  3. The Foundation may be a member of national and international organizations with objectives consistent with those of the Foundation.

§ 4

  1. Supervision over the Foundation is exercised by the minister responsible for Science and Higher Education, provided that in the event of a change in the Foundation’s objectives, supervision is exercised by the minister responsible for the new objectives.

Chapter II. Objectives of the Foundation

§ 5

  1. The Foundation conducts public benefit activities in the sphere of public tasks specified in Article 4 of the Act on Public Benefit Activities and Volunteerism, in the scope of:
    1. conducting scientific, scientific-technical, and project activities in the field of research on technologies supporting social development and improving people’s living conditions;
    2. conducting research and development activities in the field of developing and implementing innovative technological solutions;
    3. conducting educational and instructional activities and implementing projects in the field of science, technology, and engineering;
    4. disseminating knowledge in the field of new technologies through publications, training, conferences, and workshops;
    5. supporting the development of scientific staff, engineers, and specialists through scholarships, grants, training, and mentoring programs;
    6. conducting activities for scientific, scientific-technical, and project-based European integration and developing contacts and cooperation between societies;
    7. organizing activities to increase public awareness regarding the impact of technology on human life and the natural environment;
    8. providing assistance to persons professionally excluded or at risk of exclusion through conducting training, implementing, and using new technologies to increase their chances in the labor market.

Chapter III. Methods of Achieving Objectives

§ 6

  1. The Foundation achieves its objectives through:
    1. conducting scientific research, development work, and analyses;
    2. designing, creating, testing, and implementing technological solutions, including software, devices, and systems;
    3. creating, developing, and making available software under the open source model, including libraries, tools, applications, and documentation;
    4. creating prototypes and technology demonstrators;
    5. organizing and running research laboratories, stationary or virtual;
    6. purchasing, leasing, renting, and maintaining equipment, apparatus, software, materials, and other technical resources;
    7. maintaining digital repositories, databases, and knowledge resources publicly available on the Internet;
    8. creating, maintaining, and developing the Foundation’s internet platform, serving to achieve its statutory objectives;
    9. organizing and financing conferences, seminars, symposia, workshops, training sessions, competitions, exhibitions, and demonstrations;
    10. organizing and conducting educational and project programs supporting the development of open technologies and standards;
    11. developing, publishing, and distributing printed and electronic publications: reports, training materials, guides, and scientific articles;
    12. publishing research results and studies in open access;
    13. conducting mentoring and tutoring;
    14. creating e-learning courses and online training platforms;
    15. producing multimedia materials;
    16. awarding scholarships, grants, and prizes;
    17. financing or co-financing the costs of transportation, accommodation, meals, and participation in events;
    18. cooperating with scientific institutions, universities, schools, non-governmental organizations, enterprises, and public administration in Poland and abroad;
    19. organizing and conducting volunteer work;
    20. providing technical, organizational, and advisory assistance;
    21. participating in projects financed from European Union funds and other foreign sources;
    22. developing standards, recommendations, and ethical guidelines;
    23. monitoring and providing opinions on draft legal acts, strategic documents, programs, and public initiatives;
    24. employing workers and associates;
    25. establishing certificates, badges, and awarding prizes.

Chapter IV. Paid and Unpaid Activities

§ 7

  1. The Foundation conducts public benefit activities as unpaid and paid activities within the meaning of the Act on Public Benefit Activities and Volunteerism.
  2. Unpaid activity means the provision of services to recipients without charging a fee.
  3. Paid activity means the provision of services to recipients for a fee, conducted in accordance with the principles set out in the Act on Public Benefit Activities and Volunteerism.
  4. The principles for calculating and collecting fees for paid activities are determined by regulations adopted by the President.
  5. Paid and unpaid activities may not overlap in terms of identical services directed to the same recipients at the same time.
  6. The Foundation maintains separate accounting for paid and unpaid activities, to the extent enabling determination of revenues, costs, and results of each of these activities.
  7. Revenues from paid activities are allocated exclusively to the Foundation’s public benefit activities.
  8. The scope of the Foundation’s unpaid activities includes:
    1. organizing and conducting training, workshops, conferences, and educational projects;
    2. developing and making available free educational materials and publications;
    3. informational and educational activities regarding the responsible use of technology.
  9. The scope of the Foundation’s paid activities includes:
    1. organizing and conducting training, workshops, conferences, and educational projects to the extent serving the achievement of statutory objectives;
    2. sale of publications and educational materials produced by the Foundation or through the Foundation;
    3. providing consulting and expert services within the Foundation’s objectives.

Chapter V. Assets and Financial Management

§ 8

  1. The Foundation’s assets consist of the founding fund in the amount of PLN 1,000 (in words: one thousand zlotys) and property acquired in the course of the Foundation’s activities.

§ 9

  1. The Foundation’s assets come from:
    1. donations, inheritances, bequests;
    2. grants, subsidies, grants, and public generosity;
    3. European Union funds;
    4. funds transferred by government and local government administration units;
    5. income from public collections;
    6. online auctions;
    7. bank interest;
    8. income from the Foundation’s assets;
    9. revenues from paid public benefit activities.

§ 10

  1. Income from subsidies, donations, inheritances, and bequests may be used to achieve the Foundation’s statutory objectives, unless the donor decides otherwise.
  2. In the event of the Foundation being called to inherit, the President submits a declaration of acceptance of the inheritance with the benefit of inventory; if circumstances indicate that inheritance debts exceed the active state of the inheritance or there are justified doubts in this regard, the President submits a declaration of rejection of the inheritance.
  3. All of the Foundation’s revenues are allocated exclusively to the achievement of statutory objectives.
  4. The Foundation’s financial year is the calendar year.
  5. The Foundation maintains accounting in accordance with the Accounting Act.

Chapter VI. Authorities of the Foundation

§ 11

  1. The sole body of the Foundation is the Foundation’s Management Board.
  2. The Foundation’s Management Board is a one-person body and consists of the President of the Management Board, hereinafter referred to as the “President.”
  3. The Founder may become the President of the Management Board.
  4. The President is appointed and dismissed by the Founder.
  5. The President’s term of office is unlimited.
  6. In the event of the Founder’s death or permanent inability to exercise their powers, the right to appoint and dismiss the President belongs to the person indicated by the Founder in the founding act or will, and in the absence of such indication – to the outgoing President; in the absence of appointment of the President within 60 days, the competent registry court, at the request of the competent minister or starost, may appoint a curator in accordance with the provisions of law.

§ 12

  1. The President performs their function without remuneration.
  2. The President is not in an employment relationship with the Foundation or on the basis of civil law contracts to which the President is a party or beneficiary directly or indirectly, except for reimbursement of documented expenses incurred in connection with the performance of their function.
  3. The President may determine remuneration and enter into contracts with other persons acting on behalf of the Foundation.

§ 13

  1. The competencies of the President include:
    1. managing the current activities of the Foundation;
    2. achieving statutory objectives;
    3. raising funds for the Foundation’s statutory activities;
    4. preparing work plans and budgets, as well as preparing and approving annual financial and substantive reports and making them public in accordance with the provisions of law;
    5. managing the Foundation’s assets;
    6. employing workers and associates and determining their remuneration;
    7. adopting regulations;
    8. entering into contracts;
    9. accepting donations, inheritances, bequests, subsidies, and grants;
    10. creating and abolishing organizational units of the Foundation;
    11. applying for merger with another foundation and for liquidation of the Foundation;
    12. establishing and awarding badges, medals, honorary titles, awards, and distinctions.

Chapter VII. Representation and Property Obligations

§ 14

  1. The President, acting independently, is authorized to make declarations of will on behalf of the Foundation, including in property matters.
  2. The President acts on a continuous basis.

Chapter VIII. Amendment of the Statute

§ 15

  1. The Founder has the exclusive right to amend the statute, including the Foundation’s objectives.
  2. In the event of the Founder’s death, the right referred to in paragraph 1 belongs to the person indicated by the Founder in the founding act or will.

Chapter IX. Merger with Another Foundation

§ 16

  1. The Foundation may merge with another foundation with similar objectives, provided that this does not result in a change of the Foundation’s objectives.
  2. The decision on merger is made by the Founder; in the absence of the Founder – by the President.

Chapter X. Reporting and Cooperation with Supervisory Authorities

§ 17

  1. The Foundation prepares annual financial statements and substantive reports on its activities, makes them available to the public, and submits them to the competent minister.
  2. At the request of the competent minister or competent starost, the Foundation makes available documents and information necessary to assess the legality, reliability, and efficiency of its activities and cooperates in control activities.

Chapter XI. Liquidation of the Foundation

§ 18

  1. The Foundation shall be liquidated upon achievement of the objectives for which it was established, or upon exhaustion of financial resources and assets.
  2. The decision on liquidation is made by the Founder; in the absence of the Founder – by the President.
  3. Liquidation is carried out by the President as liquidator, unless the Founder indicates another person.
  4. If the Founder does not indicate a liquidator and the President cannot perform this function, the liquidator may be appointed by the minister responsible for supervision over the Foundation.
  5. Assets remaining after liquidation shall be allocated to non-governmental organizations conducting activities consistent with the Foundation’s objectives, as indicated in the liquidation decision.
  6. The liquidator notifies the competent minister of the liquidation and fulfills reporting and registration obligations.

Chapter XII. Final Provisions

§ 19

  1. In matters not regulated by this statute, the provisions of the Act on Foundations, the Act on Public Benefit Activities and Volunteerism, and other applicable legal provisions shall apply.
